Monthly Briefing: Using Joint Ventures, Mentor-Protégé, and CTA Relationships to Win Federal Work

Pursuing federal work on your own can be daunting, particularly as contract consolidation increases the competition amongst small businesses for fewer and larger contract vehicles.  In this environment, finding partners and pursuing work together through joint venture, mentor-protégé, and CTA relationships is more important than ever.  But just getting into these relationships is not a panacea.  When not done carefully from the regulatory and business standpoints, the relationships may not be eligible for the contracts they pursue and may be a bad marriage that ends up dragging down, rather than elevating, each company. 

This Briefing is targeted to CEOs, COOs, and Directors of Contracting who are grappling with whether to enter into a JV, mentor-protégé, and/or CTA relationship, how to go about doing it, and the potential pitfalls to avoid.  We will have a panel of experts on these strategic relationships who have been through them before, know the rules of the road, and will share their experiences (the good and the not-so-good).

Mark Howard Chichester is a principal of the Aegis Group and serves as the executive director of the Aegis Institute. Before the launch of Aegis, Mark was co-founder, president, and vice chair of the board of Atlas Research, an award-winning federal healthcare innovation and transformation company founded in 2008 as an SDVOSB and acquired by Customer Value Partners, Inc. in August of 2021.  Atlas Research was repeatedly on INC.’s 5000 list of fastest growing private companies, for a time reaching an annual growth rate of nearly 1,000% over a single five-year period and having annual revenue of $65M.  Atlas Research served as a “Mentor” in two SDVOSB joint ventures at the time that the company was acquired, one of which held a prime seat on the Department of Veterans Affairs Integrated Healthcare Transformation IDIQ, a ten-year contract vehicle with a $1B ceiling. Before joining Atlas, Mark held the position of Vice President of The Aspen Institute.

Mark holds degrees in business and law from The George Washington University, where he received The George Washington Award, the Martin Luther King, Jr. Medal for Outstanding Contributions in Human Rights, the Baer Leadership Award, and was inducted into the George Washington Circle of the Omicron Delta Kappa national leadership honor society.  Mark currently is a Trustee of the University and serves on its Executive Committee.

David S. Harris established Advanced Decision Vectors LLC (ADV) in 2009 and has since grown the management consulting firm from a one-man operation to a rising business with than 80 employees working in seven states and two global locations.

Prior to founding ADV, Harris was an accomplished Program Manager managing multi-million-dollar contracts with Department of Defense. It was during his tenure with BCP International Limited he decided to strike out on his own.

Harris is a 2005 Cum Laude graduate of Norfolk State University and holds a Bachelor of Science degree in Marketing. He is currently a Master of Science candidate at George Mason University in the School of Conflict Analysis and Resolution with an emphasis in Stabilization and Reconstruction.

Additionally, Harris is a member of Kappa Alpha Psi Fraternity, Incorporated and a Board Member of the Kappa Foundation of Woodbridge, Virginia. He lives in northern Virginia with his wife Sophia and two small children.

Dr. Vivek Taneja is the Co-Founder and President of Dynamo Technologies, a premier technology solutions and analytics product provider to the federal government. Dr. Taneja leads Dynamo’s strategic, growth, and partnership initiatives, with an emphasis on the federal government contracting arena. A systems engineer by training, he has lead numerous technical consulting engagements across the public and private sectors.

Dr. Taneja received his B.A. in Economics and Interdisciplinary Studies from the University of Virginia, his M.S. in Telecommunications from George Mason University, and his D.Eng. in Engineering Management and Systems Engineering from the George Washington University, where his doctoral research utilized a system dynamics approach to analyze the impact of electronic health care records on the U.S. healthcare system.

Devon Hewitt, a partner at Protorae Law, has over 25 years’ experience in the field of Government Contracts and represents emerging, small, mid-size and large government contractors located across the United States and abroad.  Ms. Hewitt is best known as a bid protest attorney, having participated in well over 100 bid protests lodged at various federal agencies, including the Small Business Administration and the Government Accountability Office.  She also has participated in bid protests filed at the United States Court of Federal Claims and is one of the few bid protest attorneys that has argued bid protest decisions on appeal at the United States Court of Appeals for the Federal Circuit.

In addition to bid protests, Ms. Hewitt represents government contractors in a wide variety of transactional matters such as the drafting and negotiation of subcontracts and teaming, cooperative, nondisclosure, non-compete, operating, joint venture, commercial vendor and “OTA” agreements.  She also advises government contractors on issues related to the Service Contract Act, intellectual property and data rights, suspension and debarment, contract claims, ethics and compliance, Organizational Conflicts of Interest, FOIA requests and reverse FOIA letters, notices of default and terminations, and government investigations, among others. She has significant experience with the Small Business Administration’s small business preferential programs and has twice served as a trial expert on this topic.

Ms. Hewitt recently was appointed General Counsel of the Small Emerging Contractor Advisory Forum (SECAF) and has been a member of its Board for over five years.  She is active in the National Veterans Small Business Council and represents many SDVOSBs and VOSBs.
