The Small Business Administration’s affiliation rules are a key component of eligibility for small business set-aside programs. Indeed, affiliation with another business can cause your company to lose its small business status, which may lead you to lose a protest as well as a set-aside contract you invested considerable time and resources in pursuing. Loss of small business status due to affiliation may also impact your pursuit of SBA loans and could trigger an enforcement action from the federal government. Therefore, to ensure eligibility and maintain compliance, small businesses competing for small business set-aside contracts and SBA loans need to understand how affiliation arises under SBA’s rules—and how it can be avoided.

Bio:

Jon Williams serves as Chair of the Government Contracts Group at PilieroMazza, a business law firm serving the needs of government contractors.  He is an experienced legal advisor to government contractors on a wide range of federal, state, and local procurement matters.  His practice focuses on assisting firms with a diverse array of Federal Acquisition Regulation compliance issues, including extensive counseling on the federal procurement programs for small businesses.  Some examples of Jon’s representations include helping contractors apply for and maintain compliance in SBA’s 8(a), HUBZone, WOSB, and SDVOSB programs; understand and navigate SBA’s nonmanufacturer rule, small business subcontracting plans, and Buy American Act and Trade Agreements Act compliance; and overcome challenges relating to Inspector General and other agency investigations and suspension and debarment proceedings.

Jon’s practice frequently involves handling procurement-related disputes.  He represents contractors in size and status protests and appeals before SBA and SBA’s Office of Hearings and Appeals, as well as filing and defending bid protests before the U.S. Government Accountability Office, the U.S. Court of Federal Claims, the Federal Aviation Administration’s Office of Dispute Resolution for Acquisition, and state/local procurement agencies.  Jon also counsels contractors on cure notice responses, contract terminations, adverse CPARS ratings, requests for equitable adjustment, and claims.  Additionally, he regularly helps contractors to establish and defend teaming, subcontract, joint venture, and mentor-protégé relationships. 

As a member of PilieroMazza’s Cybersecurity & Data Privacy team, Jon works with federal contractors—particularly those who contract with the Department of Defense—on managing cybersecurity and establishing compliant and effective safeguards.  In this area, he provides guidance on cybersecurity requirements applicable to federal contractors and assists clients in implementing appropriate internal standards and in responding to cyber incidents.

Jon frequently authors and presents content on government contracting topics and has testified several times before Congress on government contracting and small business issues.
